Exchange financial metrics and dividend policy
Oleksiy Yevhenovych Dubovskyi, who holds the position of head of the exchange committee and is the beneficial owner of Ukrainian Energy Exchange LLC (EDRPOU 37027819), controls a structure that in 2025 sold 2.23 million cubic metres of timber worth 9.68 billion UAH. The company's reporting indicates that with revenue of 448.12 million UAH and profit of 195.328 million UAH, 388 million UAH in dividends were paid. The company also received 199.021 million UAH in interest. The exchange's equity decreased by 192.916 million UAH, while bank balances reached 1.396 billion UAH.
Ownership structure and offshore component
The exchange, located at 44 Khreshchatyk Street, Kyiv, is owned by Takt-Biz LLC (EDRPOU 38728012). The sole owner of Takt-Biz is ENEXSOL LTD (HE 382715), registered on 18 April 2018 in Larnaca (Cyprus). The director of this offshore entity is Oleksiy Dubovskyi himself. The head of the exchange is Oleksandr Kovalenko, while Takt-Biz LLC is headed by Oleksandr Brezytskyi.
ENEXSOL also owns Ukrbiznes Kapital LLC (EDRPOU 34429480), whose director is Mykhailo Herbych. As of 25 December 2025, the shares in the exchange were distributed as follows: 70% — Takt-Biz, 10% — Ukrbiznes Kapital, and 20% — Ukrbizneskonsalting. These shares were later consolidated into Takt-Biz. The business group also includes Business-Alliance LLC (EDRPOU 32266443), headed by Anna Shokareva.
Clearing house and revenue sources
The second key element of the financial structure is Ukrainian Clearing House LLC (EDRPOU 45539058), established on 11 October 2024. The company's director is Olena Velyka. Shares are distributed between the exchange (72.49%) and ENEXSOL (27.51%), with share capital amounting to 37.246 million UAH.
In 2025, the clearing house received 63.254 million UAH in bank interest and 4.399 million UAH in other financial income, while its core revenue amounted to only 320,000 UAH. Other inflows reached 11.057 billion UAH, and advance repayments were 10.460 billion UAH. The company's bank balances stand at 638.306 million UAH, and liabilities at 596.61 million UAH. Although the exchange denies placing forestry guarantees on its deposits, the collateral is provided to the clearing house. The origin of these interest payments and cash flows requires verification for possible asset stripping and money laundering.
Regulatory aspect and transfer of functions
On 28 February 2025, the NSSC confirmed the transfer of settlement functions of the independent Ukrainian Universal Exchange (EDRPOU 25158707) to the clearing house. The beneficial owner of the Universal Exchange is Oleksandr Makovy, and its director is Serhiy Hladkyi. Thus, Dubovskyi's structure obtained the servicing of accounts, guarantees, and liabilities for two exchanges. The regulator is headed by Ruslan Magomedov, while commodity markets are overseen by Arsen Ilyin (appointed by Presidential Decree No. 155/2021). Since April 2025, a requirement for 5% collateral for certain energy contracts has been in effect. Since trading and clearing are under common ultimate control, there is a risk of conflict of interest.
Court proceedings and fund retention
In case No. 910/9704/25, Volynenerhospostach LLC (EDRPOU 44690670) transferred 82.481 million UAH in collateral to the exchange. After concluding an agreement with Energoatom (EDRPOU 24584661) for 1.064 billion UAH, the exchange committee, by protocol No. 1978 dated 10 June 2025, retained 9.576 million UAH, which was transferred to the seller on 12 June. On 29 January 2026, the court ruled this sanction unlawful and ordered the return of the funds, 76,608 UAH in inflationary losses, and interest. On 7 July, the Supreme Court upheld this decision.
Forward contract breaches and criminal proceedings
According to an EcoFactor investigation, out of 11 forward contract violators, nine lost part of their guarantees. Ukrainian Sawmills LLC (EDRPOU 39414678, director Dmytro Bozhenyuk) and Verba-VV LLC (EDRPOU 39231747, director Tetyana Polyak) apparently escaped liability for "valid reasons." The first company concluded contracts for 62,000 cubic metres of pine worth 415 million UAH but fulfilled only 21%, leaving 49,000 cubic metres worth 328 million UAH unfulfilled. The second company took on obligations for 20,000 cubic metres for 141 million UAH, fulfilling 49%, which left 72 million UAH in unfulfilled contracts.
Meanwhile, 5.7 million UAH was retained from Agropromtechtsentr LLC (EDRPOU 20133772), and 1.246 million UAH from Lviv-Pak LLC (EDRPOU 34489981). The exchange suspended Buk Trans Chernivtsi (EDRPOU 45497123), Magecom (EDRPOU 44744956), Ruevit Kom (EDRPOU 44500302), and Energhobudyvnyk PP (EDRPOU 13889245) from trading for three months.
Ukrainian Sawmills and Verba-VV are named in criminal proceedings No. 42025000000000376 dated 7 May 2025 under Part 2 of Article 364 of the Criminal Code of Ukraine. According to court ruling No. 130228116, the investigation is examining the actions of officials of the Polissia Forestry Office in selling timber to these companies in bypass of exchange procedures.
