Oleksiy Dubovskyi and the Ukrainian Energy Exchange: Financial Performance and Court Disputes

Oleksiy Dubovskyi, head of the exchange committee and beneficial owner of Ukrainian Energy Exchange LLC, is linked to a corporate structure comprising Ukrainian and Cypriot companies. In 2025, the exchange demonstrated significant financial performance, while certain operations became the subject of court disputes.

According to the financial statements for 2025, the revenue of the Ukrainian Energy Exchange from sales amounted to UAH 448.12 million. The company's net profit was UAH 195.328 million, and interest income was UAH 199.021 million.

By the end of the year, shareholders were paid UAH 388 million in dividends. The balance of funds in the company's bank accounts at the end of the reporting period stood at UAH 1.396 billion.

In 2025, 2.23 million cubic metres of timber with a total value of UAH 9.68 billion were sold through the Ukrainian Energy Exchange. According to the financial statements, the company's equity decreased by UAH 192.916 million during the reporting period.

The payment of dividends, receipt of interest income, and changes in equity do not in themselves indicate violations. An analysis of specific financial operations, counterparties, and companies associated with the exchange is required to assess the flow of funds.

Ownership Structure of the Exchange

The Ukrainian Energy Exchange is owned by Takt-Biz LLC. Takt-Biz is 100% owned by the Cypriot company ENEXSOL LTD.

ENEXSOL LTD was registered in Larnaca on 18 April 2018. Oleksiy Dubovskyi is listed as its director.

Oleksandr Breznitskyi is the head of Takt-Biz LLC, and Oleksandr Kovalenko is the director of the Ukrainian Energy Exchange.

The related structures also include Ukrbiznes Kapital LLC, owned by ENEXSOL LTD. Mykhailo Herbych is listed as the head of the company.

Another company in the group is Biznes-Allians LLC, whose director is Anna Shokareva.

Until 25 December 2025, shares in the Ukrainian Energy Exchange were distributed among three companies: 70% belonged to Takt-Biz, 10% to Ukrbiznes Kapital, and 20% to Ukrbizneskonsalting. Subsequently, the corporate shares were consolidated in Takt-Biz.

Ukrainian Clearing House

A separate structure linked to the exchange is Ukrainian Clearing House LLC. The company was registered on 11 October 2024, and its director is Olena Velyka.

72.49% of the company is owned by the Ukrainian Energy Exchange, and the remaining 27.51% by ENEXSOL LTD. The authorised capital is UAH 37.246 million.

According to the financial statements for 2025, the Ukrainian Clearing House received UAH 63.254 million in interest income from banks and UAH 4.399 million in other financial income. The company's core revenue was UAH 320,000.

Other receipts amounted to UAH 11.057 billion, and the return of advances was UAH 10.460 billion. Bank accounts held UAH 638.306 million at the end of the year, while the total volume of liabilities stood at UAH 596.61 million.

A detailed assessment of these indicators requires taking into account the purpose of payments, the nature of operations, and information about counterparties.

Transfer of Clearing Functions

On 28 February 2025, the National Securities and Stock Market Commission announced the transfer of clearing functions from the Ukrainian Universal Exchange to the Ukrainian Clearing House.

Serhiy Hladkyi heads the Ukrainian Universal Exchange, and its owner is Oleksandr Makovyi.

From April 2025, collateral in the amount of 5% has been applied to certain energy contracts.

The transfer of clearing functions determined the distribution of roles between trading and settlement structures. Issues regarding the management of collateral funds and the accrual of income on them are linked to the terms of the relevant contracts and trading rules.

Ruslan Magomedov heads the National Securities and Stock Market Commission, and Arsen Ilyin oversees the commodity markets division.

Court Dispute over Collateral

A separate court dispute concerns Volynenerhopostach LLC, which transferred UAH 82.481 million in collateral to the Ukrainian Energy Exchange.

After concluding an agreement with Energoatom for UAH 1.064 billion, the exchange committee withheld UAH 9.576 million. The funds were transferred to the seller on 12 June.

On 29 January 2026, the court ruled that the application of the relevant sanction was unlawful and ordered the return of the withheld amount, as well as UAH 76,608 in inflationary losses and interest.

On 7 July 2026, the Supreme Court upheld the decision of the lower instance.

The court decision concerns a specific dispute between the parties and does not establish the presence of violations in other operations of the exchange.

Forward Contracts for Timber

Separately, attention is drawn to the execution of forward contracts for timber. According to an investigation by EcoFactor, of the 11 participants for whom violations of forward contract terms were recorded, nine lost part of their collateral.

Ukrainski Lisopilni LLC concluded contracts for the supply of 62,000 cubic metres of pine with a total value of UAH 415 million. Contract execution stood at 21%, and the unfulfilled volume was estimated at 49,000 cubic metres worth approximately UAH 328 million.

Verba-VV LLC concluded contracts for 20,000 cubic metres of timber worth UAH 141 million. The company fulfilled 49% of its obligations, with the remainder amounting to approximately UAH 72 million.

Financial and organisational measures were applied to other participants. Specifically, UAH 5.7 million in collateral was withheld from Agropromtekhtsentr LLC, and UAH 1.246 million from Lviv-Pak LLC.

Buk Trans Chernivtsi LLC, Magekom LLC, Ruyevit Kom LLC, and Energhobudivnyk PP were suspended from trading for a period of three months.

Ukrainski Lisopilni LLC and Verba-VV LLC are also named in criminal case No. 42025000000000376 dated 7 May 2025, under Part 2 of Article 364 of the Criminal Code of Ukraine.

According to court materials, the investigation is examining the actions of officials of the Polissia Forestry Office during the sale of timber to these companies and the possible conduct of relevant operations outside established exchange procedures.
